Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and MoxiWorks, LLC ("MoxiWorks," "we," "us," or "our") that governs your use of MoxiWorks' website (located at moxiworks.com) and any related website, application, mobile feature or services operated or provided by MoxiWorks (collectively, the "Services"). The words "user," "you," and "your" refer to entities or individuals that access or use the Services. These Terms do not alter in any way the terms or conditions of any other written agreement you may have with us. If you are using the Services on behalf of an entity, you represent and warrant that you are authorized to accept these Terms on such entity's behalf.

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE DISCLAIMER OF WARRANTIES, AND LIMITATIONS ON LIABILITY. Any new or additional features, tools, services, or content that are added to the Services will also be subject to these Terms.

1. No Minors Allowed (Eligibility).

The Services are only available to users who can form legally binding contracts under applicable law. By accessing or using the Services, you represent that you are at least eighteen (18) years of age, or over the age of majority in the state or country where you are a resident or citizen.

2. Additional Terms.

Certain features of the Services may be subject to additional terms ("Additional Terms") presented in conjunction with such Services. You must agree to any applicable Additional Terms before using the features of the Services to which they apply. Unless otherwise specified in any Additional Terms, all Additional Terms are incorporated into these Terms. If you do not agree to Additional Terms, then you may not use the Services to which they relate. If any Additional Term is inconsistent with the provisions of these Terms, the Additional Term will prevail for the specific Services to which it applies.

3. User Accounts.

Access to and use of certain functionalities of the Services may require you to register for a user account ("Account") with us. If you decide to register an Account with us, you will create a user ID and password to access your Account. You agree to provide us with accurate, complete and current information about yourself during Account registration and at all other times, and you agree to update all information provided to us or requested by us if, and as soon as, such information changes and before you make any purchase related to the Services. You agree to keep your log-in information confidential and to not authorize any third party to use your Account. We will not be liable for any loss or damage that results from the unauthorized use of your Account, either with or without your knowledge. You are fully responsible for your failure to safeguard information or for permitting any other person to access or use the Services via your Account, and you agree that we may attribute all use of your Account to you. You agree to notify us immediately at security-alert@moxiworks.com if you suspect any unauthorized use of your Account or any other breach of security. You may not sell or otherwise transfer your Account. We have the right to cancel or suspend your registration for any reason or for no reason at any time, as determined in our sole discretion.

4. Prohibited Use.

All information, materials, and other content available through the Services (collectively, the "Content") is the sole and exclusive property of MoxiWorks or its licensors. Subject to your compliance with these Terms, we grant to you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services, and to access, use, view, and print any Content, solely for your personal and internal business purposes. Except for the limited rights set forth in this Section, you may not download, copy, duplicate, sell, print, rent, lease, issue, distribute, transmit, broadcast, modify, perform, display, transfer, upload, post, create derivative works of, exploit, sublicense or otherwise assign to any third party the Services or Content. When using the Services, you must not:

• remove any proprietary notices on the Services or Content, or attempt to disable, bypass, modify, defeat, or otherwise circumvent any digital rights management or security system used as part of the Services or Content;
• infringe, misappropriate, or violate the intellectual property, proprietary, or privacy rights of any third party;
• make any use of the Services or Content that violates any applicable local, state, national, international or foreign law;
• Send any advertising or promotional material that is unrelated to the purchase, sale, or marketing of real estate in connection with the Site;
• provide any content, data or information to MoxiWorks that contains viruses or malicious code or is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy or right of publicity, hateful, or racially, ethnically or otherwise objectionable;
• fail to use commercially reasonable efforts to prevent the unauthorized license, access, sale, transfer, lease, transmission, distribution or other disclosure of the Services or Content;
• allow any individual to use any Account log-in credentials (e.g., user identification(s), code(s), password(s), procedure(s) and user keys) issued to, or selected by, MoxiWorks for someone other than the individual identified in the Account information;
• upload to the Services the personal information of others that you are not authorized to provide;
• use the Services or Content to develop applications, services, websites, or any other functionalities that leverage the Services or Content;
• communicate the Content to the public, provide or make available any links, hypertext (Universal Resource Locator (URL) address) or otherwise grant access (other than a "bookmark" from a web browser) to the Services, or any part thereof;
• use the Services or Content in a way that suggests you are a representative of MoxiWorks;
• circumvent the user authentication or security of the Services or any host, network, or Account related thereto;
• interfere with or disrupt the proper functioning of the Services or Content, MoxiWorks, or any third-party systems used to host the Services, or other equipment or networks used to provide the Services or Content; or
• cause damage to MoxiWorks' business, reputation, employees, members, facilities, or to any other person or legal entity.

Any scraping, automated access, or other unauthorized access to, and storage of, the Services or Content will result in immediate termination of your access to the Services, Content, or Account if applicable. Use of the Services or Content for any purpose other than what is permitted in these Terms is expressly prohibited.

5. Ownership and Intellectual Property.

The Services and Content are protected by copyright, trademark, patent, and other intellectual property and proprietary rights laws. All title, ownership rights, and intellectual property rights in and to the Content and Services are owned by MoxiWorks or our licensors. All rights are reserved. The Services and Content may contain certain licensed materials, and our licensors may protect their rights in the event of any violation of these Terms.

All trademarks, service marks, logos, trade names, and any other proprietary designations of MoxiWorks used herein are trademarks or registered trademarks of MoxiWorks, our affiliates, or our suppliers. You may not use any of our trademarks, logos, or trade dress in connection with any product or service that is not owned or provided by us, in a manner that is likely to cause confusion among customers or users, or in any manner that disparages us, our affiliates, or our suppliers. 

For brokerage sites operated by MoxiWorks, the information about and photographs of individual properties displayed on the site are provided by the listing agent and/or by the multiple listing service for the area in which the subject property is located. MoxiWorks asserts no ownership rights to such content.

You may be able to upload content to the Services (including, but not limited to, personal information, data, text, links to content, software, music, sound, photographs, graphics, videos, messages or other materials (collectively, "Your Content")). You are legally responsible for all Your Content that you upload, post or store on or in connection with the Services. You represent and warrant that (a) you have all necessary rights in and to all of Your Content; (b) Your Content does not infringe or otherwise violate any proprietary or other rights of any third party; (c) Your Content is accurate and will not cause injury to any person; and (d) Your Content does not violate any applicable law or regulation.

You grant MoxiWorks a worldwide, royalty-free, non-exclusive, and fully sublicensable license to host and use Your Content in connection with its operation of the Services and otherwise in connection with MoxiWorks' business operations (including rights to reproduce, modify, distribute, create derivative works of, and publicly perform and display).

License: Your content remains yours, which means that you retain any intellectual property rights that you have in your content. We need your permission if your intellectual property rights restrict our use of your content. You provide MoxiWorks with that permission through this license.

Scope: This license is:

• worldwide, which means it's valid anywhere in the world
• non-exclusive, which means you can license your content to others
• royalty-free, which means there are no monetary fees for this license

Rights and purpose: This License will allow MoxiWorks to

• operate our Products. For example, we process the documents you upload to enable you to retrieve, delete, edit, forward, or otherwise process it, at your direction as part of the service.
• continually improve our Products, including adding new features or capabilities. For example, we use error reports to improve security features and usage data to determine what new features to prioritize.
• develop new Products. For example, we use data, often de-identified, to better understand our customers' computing and productivity needs which can shape the development of new Products.
• troubleshoot and diagnose Product problems and provide customer care and support services.
• help secure and troubleshoot our Products. To protect the security and safety of our Products and customers, detecting malware and malicious activities.
• develop Product updates and security patches. Updates and patches are intended to help you protect the privacy and security of your data.
• analyze our operations and perform business intelligence. This enables us to make informed decisions and report on the performance of our business.

6. Copyright Infringement Notices.

MoxiWorks respects the intellectual property rights of others and takes claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any Content accessible on or from the Services infringes on your copyright, you may request removal of that Content (or access to them) from the Services by submitting written notification to our copyright agent designated below. In accordance with the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. §512(c)(3)) ("DMCA"), your written notice ("DMCA Notice") must include substantially the following:

• Identification of the copyrighted work that you claim has been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at the site;
• Identification of the material that you claim is infringing, including a description of where it is located so that our copyright agent can locate it;
• Your name, address, telephone number, and, if available, e-mail address, so that our copyright agent may contact you about your complaint; and
• A signed statement that the above information is accurate; that you have a good faith belief that the identified use of the material is not authorized by the copyright owner, its agent, or the law; and, under penalty of perjury, that you are the copyright owner or are authorized to act on the copyright owner's behalf in this situation.

If you fail to comply with all of the requirements of Section 512(c)(3) of the DMCA, your DMCA Notice may not be effective. Please be aware that if you knowingly materially misrepresent that material or activity on the Services is infringing your copyright, you may be held liable for damages (including costs and attorneys' fees) under Section 512(f) of the DMCA.

If you believe that Content you posted on the Services was removed or access to it was disabled by mistake or misidentification, you may submit a counter notification to our copyright agent. Pursuant to the Section 512(g)(3) of the DMCA, a valid counter notification must include substantially the following:

1. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;
2. Your name, address, telephone number, and, if available, e-mail address, so that our copyright agent may contact you about your counter notification;
3. A signed statement that you consent to the jurisdiction of Federal District Court for the judicial district in which your address is located, or if your address is outside of the U.S., for any judicial district in which the Services may be found; that you will accept service of process from the person (or agent of that person) who provided MoxiWorks with the DMCA Notice at issue; and that, under penalty of perjury, you have a good faith belief that the material identified in your counter notification was removed or disabled as a result of mistake or misidentification.

The DMCA allows us to restore the removed Content if the party filing the original DMCA Notice does not file a court action against you within ten business days of receiving the copy of your counter notification. Please be aware that if you knowingly materially misrepresent that Content on the Services was removed or disabled by mistake or misidentification, you may be held liable for damages (including costs and attorneys' fees) under Section 512(f) of the DMCA.

It is our policy in appropriate circumstances to disable and/or terminate a repeat infringer's Account or other similar ability to use the Services.

ANY PREMIUM, OFFER, PRIZE, OR OTHER BENEFIT IS AWARDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OR GUARANTEE FROM MOXIWORKS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We reserve the right to modify, terminate or suspend the availability of Promotions and to correct errors or inconsistencies in Promotions-related materials. We may disqualify any individual who tampers with any Promotion. 11. Trial Services & Paid Services – Automatic Conversion from Trial Service to Paid Service.

MoxiWorks makes certain Services available for use on a paid subscription basis (each, a "Paid Service"). Your use of a Paid Service requires your timely payment of all fees charged by MoxiWorks for such Paid Service, as set forth in the applicable order form, online receipt or published online pricing. MoxiWorks may also make certain Services available for limited use on a trial, demonstration or evaluation basis without charging a fee for such limited use (each, a "Trial Service"). Each Trial Service is subject to the limitations on use, limitations on scope, duration of free use and other restrictions governing such Trial Service as set forth from time to time on MoxiWorks' website (collectively, the "Trial Terms"). By using any Trial Service, you agree to use such Trial Service in strict compliance with all applicable Trial Terms governing such Trial Service. Additionally, You acknowledge and agree that upon expiration of the licensed duration of free use of a Trial Service ("Trial Period"), You shall be deemed to have purchased and subscribed to a Paid Service version of such Trial Service for a one-year subscription ("Paid Subscription Period") unless You notify MoxiWorks in writing at https://support.moxiworks.com/hc/en-us/requests/new of your election not to subscribe to the Paid Service version prior to the expiration of the Trial Period. Your failure to timely notify MoxiWorks of your election not to subscribe to a Paid Service version will result in your liability for all fees and charges associated with such Paid Service for the Paid Subscription Period and you shall timely pay all such fees and charges. In additional each Paid Subscription Period shall automatically renew for an additional one-year Paid Subscription Period unless prior to the expiration of the then current Paid Subscription Period You notify MoxiWorks in writing at https://support.moxiworks.com/hc/en-us/requests/new of your election not to renew such Paid Service. Unless otherwise agreed by MoxiWorks in writing, You are required to pay all fees due in respect of Paid Services with a credit card, and You (i) shall provide MoxiWorks with a valid form of credit card payment at the time of such purchase and keep all such credit card information current and accurate in respect of all renewal fees, (ii) shall promptly notify MoxiWorks if Your credit card has changed or has been declined and (iii) hereby consent to MoxiWorks automatically processing and charging to Your credit card all fees due by You hereunder as they become due, including all renewal fees.

12. Privacy Policy.

Please refer to our Privacy Policy which describes our practices and policies related to the collection, use, and storage of information about users of the Services. You acknowledge and agree that you are solely responsible for the accuracy and content of your personal information.

13. Disclaimer of Warranties.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE WEBSITE, PRODUCTS, SERVICES AND CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. MOXIWORKS MAKES NO REPRESENTATIONS, WARRANTY OR GUARANTEE OF THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE SERVICES OR CONTENT. THE CONTENT OR ANY OTHER INFORMATION MADE AVAILABLE THROUGH THE SERVICES DOES NOT CONSTITUTE ADVICE OF ANY KIND AND SHOULD NOT BE RELIED UPON IN ANY WAY. MOXIWORKS IS NOT LIABLE FOR ANY OMISSIONS OR ERRORS OF THE SERVICES OR CONTENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS AS SPECIFIED HERE AND, TO THE LEAST EXTENT AS ALLOWED BY LAW, SUCH EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU OR A THIRD PARTY.

14. Limitation of Liability and Exclusion of Certain Damages.

MoxiWorks intends that the information contained in or displayed through the Services will be accurate and reliable; however, errors sometimes occur. In addition, changes and improvements to the information provided herein may be made by MoxiWorks at any time.

THIS WEB SITE AND THE INFORMATION, SOFTWARE, PRODUCTS AND SERVICES ASSOCIATED WITH IT ARE PROVIDED "AS IS." THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE-STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY AS SPECIFIED HERE AND, TO THE LEAST EXTENT AS ALLOWED BY LAW, SUCH EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

15. Compliance; Indemnification.

MoxiWorks designs its Services in compliance with generally applicable laws, ordinances, and regulations (including, without limitation, MLS, local, state, and federal laws and regulations relating to real estate transactions and real estate service businesses) (collectively, "Compliance Requirements"). But MoxiWorks cannot guarantee that its Services (including any assets used in the Services) will be compliant with all Compliance Requirements. Therefore, you are solely responsible for verifying that MoxiWorks' Services and assets comply with such Compliance Requirements specific to Your location before using or distributing such Services and assets.

You agree to indemnify, defend and hold MoxiWorks harmless from and against any and all third-party claims, liabilities, costs, or expenses, including reasonable attorneys' fees, arising out of or relating to (a) the failure to comply with Compliance Requirements or (b) if You have modified any of the services or assets, a claim that information submitted to this Site infringes on the intellectual property or proprietary rights of a third party.

16. Terms that Apply to Your Data.

To be able to service you more, MoxiWorks provides a Work-on-Behalf-Of (Account Access) service that allows for Staff to assist and administer various tasks such as exporting contracts, creating presentations, updating websites. When this service is turned on by an Admin you will receive notifications regarding who has been granted access and instructions on how to turn it off at any time. Furthermore, you will receive a report monthly via email to remind you of who has access to your Account Access service that you can revoke at any time.

17. Governing Law; Dispute Resolution.

These Terms will be governed by and construed in accordance with the laws of the state of Washington, USA. The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms. You and MoxiWorks each agree to exclusive jurisdiction and venue in the state and federal courts located in Seattle, King County, Washington, USA. For any dispute or claim you may have arising out of or relating to the Services, Content, or these Terms, you and MoxiWorks will each give the other the opportunity to resolve it by sending the other a written description of the dispute or claim, along with contact information, relevant documents, supporting information, and the proposed resolution before pursuing a claim. Notice to MoxiWorks will be sent to the contact information provided in Section 23 (Contact Info). MoxiWorks will notify you in writing at the email or mailing address that you provide to us in your notice to us or at any email or mailing address otherwise provided by you or made available to us. You and MoxiWorks each agree to negotiate disputes and claims in good faith. NOTWITHSTANDING ANY PROVISION TO THE CONTRARY, IF FOR ANY REASON, ANY CLAIM OR CAUSE OF ACTION, OR ANY PROCEEDING OR OTHER LITIGATION OF ANY TYPE BROUGHT BY A PARTY AGAINST THE OTHER PARTY, BASED UPON, ARISING OUT OF, OR RELATED TO THE SERVICES, CONTENT, OR THESE TERMS, WHETHER WITH RESPECT TO CONTRACT CLAIMS, TORT CLAIMS, OR OTHERWISE, PROCEEDS IN FEDERAL OR STATE COURT, THE PARTIES HEREBY WAIVE THEIR RESPECTIVE RIGHTS TO A TRIAL BY JURY. THIS WAIVER APPLIES TO ANY SUBSEQUENT AMENDMENTS, RENEWALS, SUPPLEMENTS, OR MODIFICATIONS TO THESE TERMS.

18. Changes to Terms.

These Terms may be revised or updated from time-to-time, in our sole discretion. All changes are effective immediately when we post them on the Services, and apply to all access to, and use of, the Services thereafter. Your continued use of the Services following the posting of any revised Terms constitutes your acceptance of the changes. We recommend that you review the Terms from time-to-time for any updates or changes that may impact you. If you do not agree to any revised Terms, you should discontinue your use of the Services.

19. Termination.

You may terminate your use of the Services at any time. We may, in our sole and absolute discretion, take whatever action we deem necessary to preserve the integrity of the Services and Content. Violation of any of these Terms may result in actions being taken by us, effective immediately or at a time determined by us, which may include without limitation: (i) temporarily suspending your access to the Services, or (ii) permanently terminating your access to the Services. Without limiting the foregoing, we retain the right to decline to provide the Services to any user who violates these Terms or our Privacy Policy.

Termination will not limit any of MoxiWorks' other rights or remedies. Sections 5 (Ownership and Intellectual Property), Section 8 (Feedback), Section 12 (Disclaimer of Warranties), Section 13 (Limitation of Liability and Exclusion of Certain Damages), Section 16 (Governing Law; Dispute Resolution), Section 22(General Terms), and any other provision that, by its nature, is intended to survive termination shall survive termination of these Terms.

20. Artificial Intelligence Features.

Certain aspects of the Services may include features that use artificial intelligence and/or machine learning, including generative AI (collectively, “AI Features”). AI Features may generate outputs, suggestions, summaries, recommendations, or other content based on inputs you provide or make available through the Services (collectively, “AI Output”).

No Professional Advice; Verification Required

AI Output is provided for informational purposes only. AI Output may be inaccurate, incomplete, misleading, or not appropriate for your particular circumstances. You are solely responsible for reviewing and verifying all AI Output before relying on it or using it in any manner. You acknowledge and agree that AI Output does not constitute legal, financial, real estate, brokerage, tax, or other professional advice, and should not be relied upon as such.

Your Inputs; Rights and Permissions

To use AI Features, you may submit prompts, data, text, files, or other materials (including Your Content) (“AI Inputs”). You represent and warrant that you have all rights, permissions, and authority necessary to provide AI Inputs to the Services and for MoxiWorks to process AI Inputs in connection with providing the AI Features. AI Inputs are subject to the Terms that apply to Your Content and any applicable Privacy Policy.

Use of AI Inputs to Operate and Improve the Services

MoxiWorks may process AI Inputs and AI Output to provide, maintain, secure, and improve the Services and AI Features, including for troubleshooting, quality assurance, and developing and improving models and features, unless otherwise restricted by applicable law or separate written agreement with you.

Restrictions

In addition to the “Prohibited Use” section, you agree that you will not (and will not permit any third party to) use AI Features to:

• generate, share, or promote unlawful, harmful, defamatory, obscene, or infringing content;
• violate any third-party rights, including intellectual property or privacy rights;
• attempt to reverse engineer, extract, or discover underlying models, prompts, system instructions, or training data;
• use AI Output as a substitute for independent professional judgment or for high-risk decisions (including decisions affecting legal rights, housing, employment, credit, or other similarly significant matters), unless you have independently verified the information.

Intellectual Property and AI Output

As between you and MoxiWorks, you retain your rights in AI Inputs to the extent you otherwise have such rights. AI Output may not be unique and similar or identical output may be generated for other users. MoxiWorks makes no representation that AI Output will be original or non-infringing. You are solely responsible for ensuring your use of AI Output complies with applicable law and does not violate any third-party rights.

Third-Party AI Providers

AI Features may be provided using third-party technology, tools, or services. Your use of AI Features may therefore be subject to additional terms imposed by such third parties, which may be provided to you in connection with the applicable AI Features.

21. Additional Disclosures for California Residents.

BY USING THE SERVICES, YOU WAIVE YOUR RIGHTS WITH RESPECT TO CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS, "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."

MoxiWorks makes no representation that the Services or Content are appropriate or available for use in locations outside of the United States, and access to the Services or Content from territories where such Services or Content is illegal is prohibited. Those who choose to access the Services and Content from locations outside of the United States do so on their own initiative and are responsible for compliance with applicable local laws. You may not use or export the Services or Content in violation of United States export laws and regulations.

If you use the Services or access the Content outside of the United States you, (i) consent to the transfer, storage, and processing of your information to and in the United States; (ii) will not access or use the Services or Content if you are on the United States Treasury Department's "Specially Designated Nationals and Blocked Persons List," or are located in a country embargoed by the United States; and (iii) agree to comply with all local laws, rules, and regulations including all laws, rules, and regulations in effect in the country in which you reside and the country from which you access the Services. 23. General Terms.

If any provision of these Terms is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions will remain in full force and effect. You and MoxiWorks intend that the provisions of these Terms be enforced to the fullest extent permitted by applicable law. Accordingly, you and MoxiWorks agree that if any provision of these Terms is deemed unenforceable, where possible, it will be modified to the extent necessary to make it enforceable, which may include its deletion. Section titles are for convenience only and have no legal or contractual significance. MoxiWorks may assign these Terms, in whole or in part, at any time with or without notice to you. You may not assign these Terms or assign, transfer, or sublicense any rights or delegate any duties hereunder. MoxiWorks' failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. A waiver will only be binding on MoxiWorks if it is in a written document signed by MoxiWorks. Both you and MoxiWorks warrant to each other that, in entering these Terms, neither MoxiWorks nor you have relied on, or will have any right or remedy based upon, any statement, representation, warranty, or assurance other than those expressly stated in these Terms. The preceding sentence will not limit or exclude any liability that cannot be limited or excluded under applicable law. No one other than you and MoxiWorks, or MoxiWorks' successors and permitted assigns, will have any right to enforce any of these Terms.
